1. About Us
In brief: NoteBee is operated by Nikita Havrylenko from Warsaw, Poland. Below you will find our legal details and how to reach us.
NoteBee is a macOS note-taking application and accompanying website operated by Nikita Havrylenko. These Terms of Service govern your use of the NoteBee desktop application and the notebee.cloud website (collectively, the "Service").

2. Agreement to Terms
In brief: By creating an account, downloading, or using NoteBee, you agree to these Terms and our Privacy Notice. If you do not agree, please do not use the Service.
2.1 These Terms of Service ("Terms") constitute a legally binding agreement between you and Nikita Havrylenko, operating as NoteBee. By creating an account, downloading, installing, accessing, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
2.2 If you do not agree to these Terms, you must not create an account, download, install, or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2.3 Your use of the Service is also governed by our Privacy Notice, available at notebee.cloud/privacy, which describes how we process, store, and protect your personal data. The Privacy Notice is incorporated into these Terms by reference.
2.4 We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least thirty (30) days before the changes take effect. If you do not agree to the revised Terms, you may stop using the Service and close your account before the changes become effective.
3. Eligibility
In brief: You must be at least sixteen (16) years old and legally able to enter into this agreement. You must not be prohibited from using the Service under applicable export control or sanctions laws.
3.1 Age Requirement. You must be at least sixteen (16) years of age to use the Service. By creating an account or using the Service, you represent and warrant that you are at least sixteen (16) years old. If we learn that we have processed personal data from a person under sixteen (16), we will promptly delete the account and all associated data. If you are a parent or guardian and believe your child has created an account, please contact us at privacy@notebee.cloud.
3.2 Legal Capacity. You represent and warrant that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are entering into these Terms on behalf of any other person, you represent and warrant that you have the authority to bind that person to these Terms.
3.3 Export Controls and Sanctions. You represent and warrant that you are not (a) located in, or a national or resident of, any country subject to comprehensive trade sanctions imposed by the European Union, the United States, or the United Nations; (b) designated on any applicable restricted or denied party list; or (c) otherwise prohibited from accessing or using the Service under applicable export control or sanctions laws. We reserve the right to restrict access to the Service from any jurisdiction where use of the Service would violate applicable law.
4. Account Registration and Security
In brief: You need an account to use NoteBee. You can sign up with email and password, Apple Sign-In, or Google Sign-In. You are responsible for keeping your credentials secure and for all activity under your account.
4.1 Account Creation
To access the Service, you must create a personal account ("Account"). You may register using any of the following methods:
- Email and password — you provide a valid email address and create a password;
- Apple Sign-In — you authenticate through your Apple ID; or
- Google Sign-In — you authenticate through your Google account.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete. We reserve the right to suspend or terminate any Account that we reasonably believe contains inaccurate, outdated, or incomplete information.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your Account credentials, including your password and any authentication tokens. You are responsible for all activities that occur under your Account, whether or not you have authorized such activities.
You agree to:
- choose a strong, unique password if you register with email and password;
- not disclose your credentials to any third party;
- notify us immediately at support@notebee.cloud if you become aware of any unauthorized access to or use of your Account; and
- take reasonable steps to secure the device on which you use the Service.
We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
4.3 One Account Per Person
Each Account is personal to the individual who created it. You may not share your Account credentials with any other person or allow any other person to access the Service through your Account. We reserve the right to suspend or terminate Accounts where we detect credential sharing.
4.4 Third-Party Authentication
When you choose to sign in using Apple Sign-In or Google Sign-In, you authorize the respective third-party provider to share limited profile information with us, specifically your email address and display name. We use this information solely to create and maintain your Account. We do not receive or store your third-party authentication password.
Your use of Apple Sign-In or Google Sign-In is subject to the respective provider's terms of service and privacy policy, which are separate from and in addition to these Terms. We are not responsible for the practices of these third-party authentication providers.
5. Description of the Service
In brief: NoteBee is a macOS application for creating, organizing, and quickly pasting templates and notes. It works locally on your device — your content is not sent anywhere unless you choose to use a feature that requires an internet connection, such as AI text tools or voice transcription.
5.1 Overview
NoteBee is a local-first macOS template and note management application. The Service provides the following core functionality:
- Template Creation and Management. Users may create, edit, duplicate, and organize reusable text templates.
- Collections. Users may organize templates and notes into Collections for structured content management.
- Quick Paste Overlay (HelperBee). A hotkey-activated panel that allows users to search and paste templates into any application without leaving the current workflow.
- Text Expansion (Snippets). Users may define short abbreviations that automatically expand into full text passages across the system.
- AI-Powered Text Features. Users may invoke artificial intelligence capabilities including rewrite, summarize, grammar fix, expand, simplify, change tone, continue writing, custom instruction, and AI translation. These features are powered by third-party AI services and require an internet connection.
- Voice Transcription. Users may transcribe spoken audio to text and adjust existing content using voice input. These features are powered by third-party services and require an internet connection.
- Version History (Pro). Pro subscribers may access prior versions of their templates and restore previous content.
5.2 Local-First Architecture
All user-created content — including templates, notes, Collections, and Snippets — is stored locally on the user's device. NoteBee does not transmit user content to any server unless the user affirmatively invokes a feature that requires network communication, including but not limited to: AI-powered text features, AI translation, voice transcription, account authentication, and subscription verification. Users retain full control over when and whether their content leaves the device.
5.3 Service Availability
The Company provides the Service on a "best effort" basis. We do not guarantee that the Service will be available at all times, uninterrupted, or free from errors. Network-dependent features (such as AI text tools, voice transcription, and subscription verification) rely on third-party infrastructure and may be temporarily unavailable due to circumstances beyond our reasonable control, including but not limited to server maintenance, network outages, and third-party service disruptions.
6. Subscription Plans and Billing
In brief: NoteBee offers a free tier with core features and a paid Pro subscription with expanded limits and additional capabilities. Subscriptions auto-renew unless you cancel, and AI Credits reset each month without carrying over.
6.1 Free Tier
All users may access the Free tier at no cost. The Free tier includes:
- Up to twenty-five (25) templates;
- Fifty (50) AI Credits per calendar month;
- Text Expansion (Snippets); and
- HelperBee Quick Paste Overlay.
The Free tier is subject to the limitations described above and does not include features designated as "Pro" within the Service.
6.2 Pro Subscription
The Pro subscription includes everything in the Free tier, plus:
- Unlimited templates;
- One thousand (1,000) AI Credits per calendar month;
- Version history for templates; and
- Unlimited AI translations.
6.3 Pricing
Current pricing for the Pro subscription is displayed within the application and at notebee.cloud. Pricing may vary depending on the distribution channel (Mac App Store or direct purchase), the user's region, and applicable taxes or fees.
6.4 Auto-Renewal
All paid subscriptions renew automatically at the end of each billing period unless the user cancels before the renewal date.
- Mac App Store purchases. Subscription management and cancellation are handled through the user's Apple ID account settings. To avoid being charged for a renewal period, the user must cancel at least twenty-four (24) hours before the end of the current billing period.
- Direct purchases (Stripe). Users may manage or cancel their subscription through the Stripe customer portal accessible from the application's account settings, or by contacting us at support@notebee.cloud. Cancellation takes effect at the end of the current billing period.
6.5 Price Changes
We reserve the right to modify subscription pricing. In the event of a price increase, we shall provide a minimum of thirty (30) days' advance notice to affected subscribers via the email address associated with their account. Continued use of the paid Service after the new pricing takes effect constitutes acceptance of the updated pricing.
6.6 AI Credits
AI-powered features consume AI Credits. Each request to an AI-powered feature consumes one (1) AI Credit. AI Credits:
- Reset to the full monthly allocation on the first day of each calendar month;
- Do not carry over from one billing period to the next;
- Are non-transferable between accounts; and
- May not be exchanged for monetary value.
When a user's AI Credits are exhausted, AI-powered features will be unavailable until the next monthly reset or until the user upgrades to a plan with a higher allocation.
6.7 Free Trial
We may offer free trial periods for the Pro subscription from time to time. The specific terms of any free trial — including its duration and the features included — shall be disclosed to the user before the trial begins. Unless the user cancels before the trial period expires, the trial will automatically convert to a paid Pro subscription at the then-current rate.
7. Refund Policy
In brief: You have thirty (30) days to request a refund. For App Store purchases, Apple handles refunds. For direct purchases, contact us and we will process your refund within seven to ten (7-10) business days.
7.1 Refund Window
We offer a thirty (30) day refund window from the date of the initial purchase or the most recent renewal charge.
- Mac App Store purchases. Refunds are processed at Apple's discretion. Users should submit refund requests through reportaproblem.apple.com. We do not have the ability to issue refunds for Mac App Store transactions.
- Direct purchases (Stripe). Users may request a refund by contacting us at support@notebee.cloud within thirty (30) days of the applicable charge. Approved refunds shall be processed within seven to ten (7-10) business days and returned to the original payment method.
7.2 Cancellation to Avoid Future Charges
Users who do not wish to be charged for a subsequent billing period should cancel their subscription before the renewal date in accordance with Section 6.4.
7.3 Exceptions
Refunds shall not be granted in the following circumstances:
- Partial billing periods. No pro-rata refunds are available for unused portions of a subscription period following cancellation.
- Free tier dissatisfaction. The Free tier is provided at no cost; dissatisfaction with Free tier limitations does not constitute grounds for a refund.
- Hardware or system incompatibility. We are not responsible for refunds arising from the user's hardware, operating system version, or local configuration that does not meet the minimum system requirements.
- Third-party resellers. Purchases made through unauthorized resellers or third-party distributors are not eligible for refunds from us.
7.4 Statutory Rights
Nothing in this Section shall limit or exclude any mandatory refund or withdrawal rights under applicable law, including but not limited to the EU Consumer Rights Directive (Directive 2011/83/EU). Where statutory rights provide a broader remedy, the statutory rights shall prevail.
8. License Grant and Restrictions
In brief: We grant you a license to use NoteBee for personal or business use. You may not reverse engineer, redistribute, or use it to build competing products.
8.1 License Grant
Subject to your compliance with these Terms, NoteBee grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Application on macOS devices that you own or control, solely for your personal or internal business purposes.
8.2 Restrictions
You agree not to, and will not permit any third party to:
(a) Copy, modify, adapt, translate, or create derivative works based on the Application or any part thereof;
(b) Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Application, except to the extent expressly permitted by applicable law (including EU Directive 2009/24/EC on the legal protection of computer programs) and only after you have first requested the necessary information from us and we have declined to provide it;
(c) Sell, resell, rent, lease, lend, sublicense, distribute, or otherwise transfer the Application or any rights therein to any third party;
(d) Remove, alter, obscure, or deface any proprietary notices (including copyright and trademark notices) on or within the Application;
(e) Use the Application, in whole or in part, to build, train, or improve a product or service that competes with NoteBee;
(f) Use any automated means, including bots, scrapers, crawlers, or similar technologies, to access or interact with the Application; or
(g) Attempt to circumvent, disable, or otherwise interfere with any security, authentication, or digital rights management features of the Application.
8.3 Reservation of Rights
The Application is licensed, not sold. Except for the limited license granted in Section 8.1, NoteBee and its licensors retain all right, title, and interest in and to the Application, including all intellectual property rights therein.
9. Your Content
In brief: You own your content. We do not access your templates stored locally. When you use AI features, we need a limited license to process your selected text and return the result.
9.1 Ownership
You retain all ownership rights in your Content. "Content" means any text, notes, templates, collections, audio recordings, and other materials that you create, import, or store using the Application. NoteBee does not claim any ownership interest in your Content.
9.2 License to NoteBee
By using features of the Service that require transmission of your Content (such as AI text processing or voice transcription), you grant NoteBee a limited, non-exclusive, royalty-free, worldwide license to access, transmit, process, and temporarily store your Content solely to the extent necessary to (a) provide the Service functionality you have requested and (b) comply with applicable law. This license terminates when you delete your account, except as required to comply with legal obligations.
9.3 Local Storage
Your Content is stored locally on your device. We do not access, read, transmit, or back up your templates, notes, or collections unless you explicitly invoke a feature that requires transmission, such as AI text processing or voice transcription. You are solely responsible for maintaining backups of your locally stored Content.
9.4 Content Responsibility
You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to use and authorize the processing of your Content as contemplated by these Terms; (b) your Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights; and (c) your Content complies with all applicable laws, rules, and regulations.
9.5 No Obligation to Monitor
NoteBee does not pre-screen, review, or monitor your Content. Because your Content is stored locally on your device, we have no access to it except when you explicitly invoke a transmission-dependent feature. However, we reserve the right to refuse to process any Content through our AI features if doing so would violate these Terms or applicable law.
10. AI-Powered Features
In brief: AI features are optional, require your consent, and are provided "as is." You are responsible for reviewing AI output. We do not use your content to train AI models.
10.1 Overview
NoteBee offers optional AI-powered features, including text rewriting, summarization, translation, and voice transcription. These features are powered by third-party AI services provided by Google (Vertex AI). AI features are entirely optional and are not required to use the core functionality of the Application.
10.2 Consent and Opt-In
Before you use an AI-powered feature for the first time, NoteBee will present a one-time notice explaining what data will be transmitted and how it will be processed. You must affirmatively consent before any data is sent to the AI service provider. You may decline and continue using all non-AI features of the Application without limitation.
10.3 How AI Processing Works
When you use an AI-powered text feature, the following occurs:
- You select specific text within the Application and choose an AI action (e.g., rewrite, summarize, translate);
- Only the selected text is transmitted to the AI service provider for processing;
- The AI model processes the text and returns a result; and
- The result is displayed within NoteBee for your review.
Only the text you explicitly select is transmitted. Your entire library, templates, notes, collections, account information, and preferences are never sent to the AI service provider.
10.4 Voice Transcription
When you use the voice transcription feature, audio is recorded temporarily on your device and transmitted to the AI service provider solely for the purpose of transcription. The temporary audio file is deleted from your device immediately after processing is complete. We do not store, retain, or collect your audio recordings. Audio is processed transiently and is not accessible to NoteBee at any point during or after the transcription process.
10.5 AI Output Ownership
You retain ownership of both the input you provide and the output generated by AI features. NoteBee does not claim any ownership interest in AI-generated output.
10.6 Accuracy Disclaimer
AI-generated content is provided "as is" without any warranty of accuracy, completeness, or appropriateness. AI models may produce results that are incorrect, misleading, incomplete, or inappropriate for your intended purpose. You are solely responsible for reviewing, verifying, and evaluating all AI-generated content before use. NoteBee shall not be liable for any damages, losses, or consequences arising from your reliance on AI-generated content.
10.7 Non-Uniqueness of Output
AI-generated output is not guaranteed to be unique. Other users who submit similar or identical input may receive substantially similar output. AI features do not create exclusive content.
10.8 No Training on Your Content
We do not use your Content to train, fine-tune, or improve any AI model. The AI service provider is contractually prohibited from using content submitted through NoteBee for model training, improvement, or any purpose other than providing the requested processing result.
10.9 No Content Logging
We do not enable AI monitoring or content logging on our AI infrastructure. Your text and audio are processed and returned without being logged or stored by us. We do not maintain records of your AI requests or the content of AI responses.
10.10 AI Credit Limits
AI-powered features are subject to usage limits determined by your subscription tier, as described in Section 6.6.
10.11 AI Use Restrictions
You agree not to use AI-powered features to:
(a) Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
(b) Generate spam, phishing messages, malware, or any content intended to deceive or defraud;
(c) Generate content that infringes or misappropriates any third party's intellectual property rights;
(d) Attempt to circumvent, manipulate, or exceed AI credit limits or usage restrictions through any means; or
(e) Use AI features in any manner that violates applicable law or these Terms.
We reserve the right to suspend or terminate your access to AI features if we reasonably believe you have violated these restrictions.
10.12 Copyright Considerations
Content generated solely by AI, without significant human creative contribution, may not qualify for copyright protection in all jurisdictions. You are responsible for understanding and complying with the intellectual property laws applicable to your use of AI-generated content. NoteBee makes no representation regarding the copyrightability of AI-generated output.
11. Intellectual Property
In brief: NoteBee's software, design, and branding belong to us. Your feedback helps improve the product and may be used freely.
11.1 NoteBee Ownership
All right, title, and interest in and to the Service — including but not limited to the software, source code, object code, user interface design, visual design, documentation, logos, trademarks, trade names, and any other intellectual property embodied therein — are and shall remain the exclusive property of NoteBee and its licensors. These Terms do not grant you any ownership interest in the Service, but only a limited right of use that is revocable in accordance with these Terms.
11.2 Feedback
If you voluntarily provide suggestions, ideas, enhancement requests, or other feedback regarding the Service ("Feedback"), you grant NoteBee a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, and incorporate such Feedback into the Service or any other product or service without any obligation of compensation, attribution, or confidentiality to you.
11.3 Trademarks
The NoteBee name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NoteBee. You may not use such marks without the prior written permission of NoteBee. All other names, logos, product and service names, designs, and slogans appearing in the Service are the trademarks of their respective owners.
12. Acceptable Use
In brief: Use NoteBee lawfully and respectfully. Do not attempt to hack, abuse, or use the Service to harm others.
As a condition of your access to and use of the Service, you agree that you will not:
- Violate applicable laws or regulations, including but not limited to export control laws, sanctions regulations, data protection laws, or intellectual property laws;
- Store harmful or illegal content, including content that is defamatory, obscene, fraudulent, or that promotes violence or discrimination;
- Distribute malware or malicious code through the Service;
- Send spam or unsolicited communications using or through the Service;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
- Interfere with or disrupt the Service, its servers, or the networks connected to the Service;
- Gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service;
- Use the Service for developing competing products;
- Harvest or collect data from the Service through automated means; or
- Circumvent usage limits or restrictions imposed by the Service.
NoteBee reserves the right to investigate and take appropriate action against anyone who violates this Section, including suspending or terminating the offender's account.
13. Privacy and Data Protection
In brief: Your privacy matters. Our Privacy Notice explains what data we process and your rights. We do not sell data or run ads.
13.1 Privacy Notice
Your use of the Service is governed by the NoteBee Privacy Notice, available at notebee.cloud/privacy, which is incorporated into these Terms by reference.
13.2 Data Controller
The data controller for personal data processed through the Service is Nikita Havrylenko, operating as NoteBee, a sole proprietorship registered in Poland. The data controller may be contacted at privacy@notebee.cloud.
13.3 GDPR Compliance
NoteBee processes personal data in compliance with the GDPR and applicable Polish data protection law. Your rights include: access, rectification, erasure, restriction of processing, data portability, and objection. To exercise any of these rights, contact us at privacy@notebee.cloud.
13.4 US State Privacy Laws
NoteBee complies with the CCPA/CPRA and other applicable US state privacy laws. We do not sell personal information, do not share personal information for cross-context behavioral advertising, and do not use sensitive personal information for purposes other than those permitted under applicable law.
13.5 Revenue Model
NoteBee generates revenue exclusively from subscription fees. We do not monetize your data, we do not sell your personal information to third parties, and we do not display advertisements within the Service.
14. Third-Party Services
In brief: NoteBee uses third-party services to provide its functionality. These services have their own terms.
14.1 Third-Party Providers
The Service relies on the following third-party providers:

14.2 Third-Party Terms
Each third-party provider operates under its own terms of service and privacy policy. By using features that rely on third-party providers, you acknowledge that your use is also subject to the applicable third-party terms.
14.3 Payment Processing
All payment transactions are processed by Apple Inc. (App Store) or Stripe Inc. (direct distribution). NoteBee never receives your payment card details.
15. Disclaimer of Warranties
In brief: The Service is provided "as is." We do our best, but we cannot guarantee it will always work perfectly.
15.1 THE SERVICE, INCLUDING ALL CONTENT, FEATURES, AND AI-POWERED FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOTEBEE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
15.2 Without limiting the foregoing, NoteBee does not warrant that:
- (a) the Service will be uninterrupted, timely, secure, or error-free;
- (b) the results obtained from the use of the Service will be accurate or reliable;
- (c) any errors in the Service will be corrected; or
- (d) the Service will meet your specific requirements.
15.3 AI-Generated Content. NoteBee makes no warranty regarding the accuracy, completeness, reliability, or suitability of any output generated by AI-powered features.
15.4 Preservation of Statutory Rights. Nothing in this Section affects any statutory rights that you are entitled to as a consumer under the laws of the European Union, the Republic of Poland, or your country of residence that cannot be contractually waived or limited.
16. Limitation of Liability
In brief: Our liability is limited to what you paid us. We are not liable for indirect damages like lost data or business opportunities.
16.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOTEBEE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, OR THE COST OF PROCURING SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF NOTEBEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.2 Aggregate Liability Cap. NoteBee's total cumulative liability shall not exceed:
- (a) for paid subscribers: the total fees actually paid to NoteBee during the twelve (12) months immediately preceding the event giving rise to the claim; or
- (b) for users on the free plan: one hundred euros (EUR 100).
16.3 Exceptions. Nothing in this Section shall exclude or limit liability for:
- (a) death or personal injury caused by negligence;
- (b) fraud or fraudulent misrepresentation; or
- (c) any liability that cannot be excluded or limited under applicable law.
16.4 Preservation of Statutory Rights. Your statutory rights as a consumer under EU and Polish law remain unaffected.
17. Indemnification
In brief: If your use of NoteBee causes a legal claim against us, you agree to cover our costs. For EU consumers, this applies only in cases of intentional misconduct or gross negligence.
17.1 You agree to indemnify, defend, and hold harmless NoteBee from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or connected with:
- (a) your access to or use of the Service;
- (b) your Content, including any claim that your Content infringes the rights of any third party;
- (c) your violation of these Terms or any applicable law; or
- (d) your use, publication, distribution, or reliance on any AI-generated output.
17.2 EU Consumer Limitation. If you are a consumer residing in the European Union, the indemnification obligation applies only to the extent that the relevant claim arises from your intentional misconduct or gross negligence.
18. Termination
In brief: You can stop using NoteBee at any time. We may terminate your account for serious violations.
18.1 Termination by You
You may terminate your relationship with NoteBee at any time by canceling your subscription and/or deleting your account through Settings within the application.
18.2 Account Deletion
When you delete your account:
- (a) your user profile and authentication credentials are permanently removed from our systems;
- (b) authentication tokens are revoked and active sessions are terminated;
- (c) a compliance record is created to document the deletion for regulatory purposes; and
- (d) any Content stored locally on your device remains on your device and is not affected.
18.3 Termination by NoteBee
We may suspend or terminate your access to the Service if:
- (a) you materially or repeatedly violate these Terms;
- (b) your continued use poses a security risk;
- (c) termination is required to comply with applicable law; or
- (d) your account has been inactive for twenty-four (24) consecutive months.
Except where immediate action is necessary, we will provide at least thirty (30) days' notice before terminating your account.
18.4 Effect of Termination
Upon termination, the license granted under Section 8.1 is immediately revoked. Any Content stored locally on your device remains on your device.
18.5 Survival
The following Sections survive termination: 9 (Your Content), 10.6 (Accuracy Disclaimer), 11 (Intellectual Property), 15 (Disclaimer of Warranties), 16 (Limitation of Liability), 17 (Indemnification), 20 (Governing Law), and 21 (General Provisions).
19. Changes to These Terms
In brief: We may update these Terms. For significant changes, we will give you thirty (30) days' notice.
19.1 NoteBee reserves the right to modify these Terms at any time.
19.2 Material Changes. For changes that materially affect your rights or obligations, we will provide at least thirty (30) days' prior notice via email or in-app notification.
19.3 Minor Changes. For non-material changes (typographical corrections, formatting, clarifications), we may update these Terms by posting the revised version with an updated date.
19.4 Your continued use of the Service after the effective date of any revised Terms constitutes acceptance. If you do not agree, you must stop using the Service.

20. Governing Law and Jurisdiction
In brief: These Terms are governed by Polish law. We hope to resolve disputes amicably, but if necessary, they will be handled by Warsaw courts. EU consumers retain the right to use their home courts.
20.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to conflict-of-law principles.
20.2 EU Consumer Protections. If you are a consumer in the EU/EEA, you also benefit from mandatory provisions of the law of your country of residence.
20.3 Jurisdiction. Disputes shall be submitted to the courts of Warsaw, Poland. EU/EEA consumers may bring proceedings in their home courts.
20.4 Online Dispute Resolution. The European Commission provides an ODR platform at https://ec.europa.eu/consumers/odr.
20.5 Amicable Resolution. Before initiating formal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct communication.
21. General Provisions
21.1 Entire Agreement. These Terms, together with the Privacy Notice, constitute the entire agreement between you and NoteBee regarding the Service.
21.2 Severability. If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary, or severed. The remaining provisions continue in full force.
21.3 Waiver. Failure to enforce any right does not constitute a waiver.
21.4 Assignment. You may not assign your rights under these Terms. NoteBee may assign with reasonable notice.
21.5 Force Majeure. NoteBee shall not be liable for failures caused by circumstances beyond reasonable control.
21.6 No Third-Party Beneficiaries. These Terms do not create rights for any third party.
21.7 Notices. All notices will be sent to the email address associated with your Account.
21.8 Export Compliance. You agree to comply with applicable export control laws.
21.9 Language. In case of conflict between the English version and any translation, the English version prevails.
